Term of Use

These Terms of Use (“Terms”) govern your access to and use of wildkardagency.com (the “Site”) and the services described on it (the “Services”), operated by WildKard Agency ([currently a sole proprietorship trade name], “WildKard,” “we,” “us,” or “our”). By accessing the Site or engaging our Services, you agree to these Terms.

Who These Terms Apply To

These Terms apply to anyone who visits the Site, submits a contact or discovery-call form, subscribes to our newsletter, or engages WildKard as a client. If you are entering into these Terms on behalf of a business, you confirm you have authority to bind that business.

Description of Services

WildKard provides virtual and executive assistance, content marketing and SEO/GEO, web development, graphic design and brand identity, and non-regulated administrative and operational support for social services agencies. Specific scope, deliverables, and pricing for any engagement are set out in a separate service agreement or proposal, which controls in the event of a conflict with these Term

No Regulated Care Services

WildKard provides administrative, operational, and marketing support to social services and care agencies, including DODD-certified providers. WildKard does not provide, and this engagement does not include, direct care, clinical, medical, or other regulated services to individuals receiving care. WildKard does not access, store, or process protected health information (PHI) or individual client-of-client care records as part of these Services. If any such information is inadvertently shared with WildKard, WildKard will decline, delete, and notify the client agency. This boundary should also be restated in each social services client’s service agreement.

Client Responsibilities

You are responsible for the accuracy of information you provide, for maintaining any account or platform access credentials you share with WildKard, and for reviewing deliverables within the timeframe stated in your service agreement.

Fees and Payment

Fees are set out in your service agreement or proposal. Payment terms and refund policy, will be clearly stated in any contract or agreement. 

Intellectual Property

Upon full payment, deliverables created specifically for a client become that client’s property, except for WildKard’s pre-existing tools, templates, and methodologies, which WildKard retains. WildKard may reference completed work in its own portfolio and marketing unless the client requests otherwise in writing

Confidentiality

Each party agrees to keep the other party’s non-public business information confidential and to use it only for purposes of the engagement. This obligation survives termination of the engagement.

Disclaimers

The Site and Services are provided “as is.” WildKard does not guarantee specific results, including specific search rankings, traffic, or lead volume, since these depend on factors outside WildKard’s control.

Limitation of Liability

To the maximum extent permitted by law, WildKard’s total liability arising from these Terms or the Services is limited to the fees paid by the client in the 6  months preceding the claim. WildKard is not liable for indirect, incidental, or consequential damages.

Termination

Either party may terminate an engagement per the notice period stated in the applicable service agreement. Sections relating to confidentiality, intellectual property, payment for work completed, and limitation of liability survive termination.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in  OHIO

International Users

WildKard is based in the United States and markets its Services to clients in the UK, EU, Australia, New Zealand, and Canada, in addition to the US. By engaging WildKard, international clients agree that these Terms and Ohio law govern the engagement, subject to any mandatory consumer protection rights in their home jurisdiction that cannot be waived by contract.

Changes to These Terms

WildKard may update these Terms from time to time. Material changes will be reflected by an updated “Effective Date” at the top of this page. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
